Amsterdam \/ Luxemburg, 20. Mai 2025 – <\/strong>Die geplante Standortverlegung von JBS in die Niederlande als Teil der geplanten Notierung an der New Yorker B\u00f6rse k\u00f6nnte das Unternehmen erheblichen rechtlichen Risiken aussetzen. Diese Warnung hat Greenpeace International an die Aktion\u00e4re gerichtet, bevor diese am 23. Mai \u00fcber das Vorhaben abstimmen sollen.<\/p>\n\n

In einem Schreiben [1] an die Minderheitsaktion\u00e4re, darunter Capital Group, Black Rock sowie mehrere luxemburgische Minderheitsaktion\u00e4re [2], warnte Greenpeace International, dass die Organisation \u201ealle Schritte unternehmen wird, die wir f\u00fcr notwendig erachten\u201c, um sicherzustellen, dass JBS das niederl\u00e4ndische Gesellschaftsrecht einh\u00e4lt, sollte es ein niederl\u00e4ndisches Unternehmen werden. <\/p>\n\n

In dem Schreiben wird eine k\u00fcrzlich ergangene Entscheidung<\/a> des niederl\u00e4ndischen Berufungsgerichts zitiert, die deutlich macht, dass die niederl\u00e4ndischen Gerichte die Wachstumspl\u00e4ne von Unternehmen, die zu einem Anstieg der Emissionen beitragen, sorgf\u00e4ltig pr\u00fcfen werden. Erst letzte Woche hatte die gemeinn\u00fctzige Organisation Milieudefensie aus \u00e4hnlichen Gr\u00fcnden eine Klage gegen Shell eingereicht<\/a>. Der B\u00f6rsengang von JBS an der Wall Street geht mit einer betr\u00e4chtlichen Ausweitung der Fleischproduktion einher, die laut Klimasch\u00fctzern zu einem explosionsartigen Anstieg der Emissionen f\u00fchren w\u00fcrde, was einen Versto\u00df gegen internationale Klimavereinbarungen darstellt. <\/p>\n\n

Das Greenpeace-Schreiben erscheint wenige Tage, nachdem JBS seinen Vorschlag f\u00fcr eine doppelte B\u00f6rsennotierung verteidigt hat<\/a>, nachdem das Beratungsunternehmen Institutional Shareholder Services (ISS) argumentierte, dass die geplante Struktur \u201eproblematisch sei und Minderheitsaktion\u00e4re stark entm\u00fcndige\u201c und den Aktion\u00e4ren empfahl, mit Nein zu stimmen. Der Aktienkurs von JBS brach nach der Intervention des Unternehmens um fast 6 % ein und ist im letzten Monat um fast 10 % gesunken. <\/p>\n\n

Martina Holbach, Kampaignerin bei Greenpeace Luxemburg, erkl\u00e4rte: \u201eDas offenbar schwankende Vertrauen der Aktion\u00e4re in JBS zeigt, dass die Investoren endlich aufwachen und erkennen, was die Zivilgesellschaft seit \u00fcber einem Jahr sagt: Ihnen wird ein extrem schlechtes Gesch\u00e4ft angeboten. Die vorgeschlagenen Governance-Strukturen dienen nur dazu, die Taschen der Milliard\u00e4rsbr\u00fcder Batista zu f\u00fcllen und gleichzeitig ihren eisernen Griff \u00fcber das Unternehmen aufrechtzuerhalten. <\/em>\u201d<\/p>\n\n


In dem Brief an die Minderheitsaktion\u00e4re argumentiert Greenpeace au\u00dferdem, dass die vorgeschlagene Umstrukturierung eine Macht\u00fcbernahme durch Joesley und Wesley Batista, die S\u00f6hne des Unternehmensgr\u00fcnders und Hauptaktion\u00e4re, darstellt. Durch die Einf\u00fchrung unterschiedlicher Anteilsklassen w\u00fcrde sich das Stimmrecht der Br\u00fcder fast verdoppeln, so dass sie Anteile zu Geld machen und gleichzeitig \u00fcber ihre luxemburgische Holdinggesellschaft J&F Investments Luxembourg S.\u00e0 r.l. die absolute Kontrolle \u00fcber das Unternehmen erhalten k\u00f6nnten.

Die Batista-Br\u00fcder werden seit langem mit einer Reihe von unsauberen Praktiken in Verbindung gebracht, darunter Abholzung und Sklavenarbeit in den Lieferketten von JBS und politische Korruption. Im Jahr 2020 bekannte sich die Holdinggesellschaft der Br\u00fcder, J&F Investimentos, in den USA der Bestechung im Ausland schuldig<\/a> und erkl\u00e4rte sich bereit, fast 128,25 Mio. USD an Strafgeldern zu zahlen. JBS zufolge<\/a> drohen Verbindlichkeiten in H\u00f6he von bis zu 6 Mrd. USD aus straf- und zivilrechtlichen sowie anderen F\u00e4llen.<\/p>\n\n
